{M&A Process/3} Different types of M&A sale processes

There are a number of ways to transfer a company depending on client goals and circumstances :

▶ At one of the spectrum is the negotiated sale. In a negotiated sale, the seller and its banker negotiate with one suitor. It’s a one-on-one process.

▶ At the other end is the broad or public auction targeting a very broad group of potential buyers(typically over 100). Broad auctions often involve public companies and may not be confidential.

▶ The quintessential middle market M&A process–the limited or private auction–sits in the middle.

▶ The limited auction targets a somewhat broad group of potential buyers (typically around 50), on a confidential basis, and usually involves controlled bidding involving specific stages and time lines designed to create competition and move the process forward.
